The film takes us through the vicissitudes of their romantic journey.。1930年代，光怪陆离的老上海。商会之间依然纷争不断，初来乍到的许文强偶遇上海滩头号商会大亨冯敬尧的爱女冯程程。倔强美丽的冯程程与旧爱方艳芸有几分神似，而此时的方艳芸已是上海滩第一交际花。许文强与闸北贫民区长大的丁力在无意中救下冯程程，两人结为生死之交。在方艳芸的帮助下，两人得到冯敬尧的赏识，决定同在上海滩闯出名堂。许文强和丁力都对冯程程一见倾心，三人展开了一段错综复杂的爱情故事。然而几经磨难的许文强返家时发现全家惨死，为报血海深仇决定重返上海滩。。
